Conditions Relating to Your Use of Nimeya.ai

1. Your Account

If you use the website, you are responsible for maintaining the confidentiality of your account details such as login ID and password and for restricting access to your computer/electronic device to prevent unauthorised access to your account. You agree to accept responsibility for all activities that occur under your account or password. You should take all necessary steps to ensure that the password is kept confidential and secure and should inform us immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorised manner. Please ensure that the details you provide us with are correct and complete and inform us immediately of any changes to the information that you provided when registering. You can access and update much of the information you provided us with in the relevant sections of the web/mobile app. You agree and acknowledge that you will use your account on the web/mobile app for your personal use which may include your family members and / or family office and not for any business purposes. Should you use the account for any business purpose, Nimeya.ai reserves the right to refuse access to the web/mobile app, terminate accounts, remove your account at any time without notice to you.

2. Privacy & Data Protection

Please review our Privacy & Data Protection Notice, which also governs your visit to Nimeya.ai, to understand our practices. The personal information / data provided to us by you during the course of usage of Nimeya.ai will be treated as strictly confidential and in accordance with the Privacy & Data Protection Notice and applicable laws and regulations. 

3. E-Storage for Data

You agree, understand and acknowledge that the website is an online platform that enables you to record & view your financial portfolio data in the web/mobile app at the price on annual subscription basis. Neither Nimeya or any of its associates and / or its officers, directors, agents and employees are intending to provide any advisory related or unrelated to your portfolio in any way nor to sell any products/services through this website. The web/mobile app works mainly on algorithm based artificial intelligence without any human interference to show analytical data related to what you store.

 4. Access to Nimeya.ai

The technologies used by us in the website are latest and among the best which we will keep on upgrading from time to time. We stand by our commitment and will do our utmost to ensure that availability of the website will be uninterrupted and that transmissions will be error-free. However, due to the nature of the Internet, this cannot be guaranteed. Also, your access to the website may also be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or services at any time without prior notice. We will attempt to limit the frequency and duration of any such suspension or restriction. However, your data will remain protected in the cloud server for which only you will be having the access to, view, modify and delete.

5. Licence for website access

Subject to your compliance with these Terms of Use and payment of applicable fees, if any, Nimeya Technologies Private Limited grants you a limited licence to access and make personal use of this website, but not to download (other than page caching) or modify it, or any portion of it, except with express written consent of Nimeya Technologies Private Limited and / or its affiliates, as may be applicable. This licence does not include any resale or commercial use of this website or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of this website or its contents; any downloading or copying of account information for the benefit of another seller; or any use of data mining, robots, or similar data gathering and extraction tools.

This website or any portion of this website (including but not limited to any copyrighted material, trademarks, or other proprietary information) may not be reproduced, duplicated, copied, sold, resold, visited, distributed or otherwise exploited for any commercial purpose without express written consent of Nimeya Technologies Private Limited and / or its affiliates, as may be applicable.

You may not frame or use framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, designs or form) of Nimeya.ai and its affiliates without express written consent. You may not use any meta tags or any other “hidden text” utilising Nimeya Technologies Private Limited’s or its affiliates’ names or trademarks without the express written consent of Nimeya Technologies Private Limited and / or its affiliates, as applicable. Any unauthorised use terminates the permission or license granted by Nimeya Technologies Private Limited and / or its affiliates, as applicable.

You are granted a limited, revocable, and non-exclusive right to create a hyperlink to the Welcome page of Nimeya.ai as long as the link does not portray Nimeya Technologies Private Limited, Nimeya.ai, their affiliates, or their services in a false, misleading, derogatory, or otherwise offensive matter. You may not use any Nimeya.ai logo or other proprietary graphic or trademark as part of the link without express written consent of Nimeya Technologies Private Limited and / or its affiliates, as may be applicable.

6. Your Conduct

You must not use the website in any way that causes, or is likely to cause, the website or access to it to be interrupted, damaged or impaired in any way You understand that you, and not Nimeya.ai, are responsible for all electronic communications and content sent from your computer to us and you must use the website for lawful purposes only. You must not use the website for any of the following:

7. Reviews, comments, communications and other content

Nimeya.ai reserves the right (but not the obligation) to remove, refuse, delete or edit any content that in the sole judgement of Nimeya.ai violates these Conditions of use and, or terminate your permission to access or use this website.

(a) grant Nimeya Technologies Private Limited and its affiliates a non-exclusive, royalty-free, irrevocable, perpetual and fully sub licensable rights to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media; and
2. (b) Nimeya Technologies Private Limited and its affiliates and sublicensees the right to use the name that you submit in connection with such content, if they choose.

You agree that the rights you grant above are irrevocable during the entire period of protection of your intellectual property rights associated with such content and material. You agree to waive your right to be identified as the author of such content and your right to object to derogatory treatment of such content. You agree to perform all further acts necessary to perfect any of the above rights granted by you to Nimeya Technologies Private Limited, including the execution of deeds and documents, at its request.

You represent and warrant that you own or otherwise control all of the rights to the content that you post or that you otherwise provide on or through the website; that, as at the date that the content or material is submitted to Nimeya.ai: (i) the content and material is accurate; (ii) use of the content and material you supply does not breach any applicable Nimeya.ai policies or guidelines and will not cause injury to any person or entity (including that the content or material is not defamatory); (iii) the content is lawful. Nimeya.ai lists comments of the website and it is not possible for us to be aware of the contents of each review that is displayed. Accordingly, Nimeya.ai operates on a “notice and takedown” basis. You may not systematically extract/ or re-utilise parts of the contents of the website without Nimeya Technologies Private Limited and / or its affiliate’s (as may be applicable) express written consent. “NIMEYA” is a trademark for exclusive use of Nimeya Technologies Private Limited and its subsidiaries. Wordmarks, designs used in Nimeya.ai are exclusively created for this software and should not be reproduced in any form. Reproduction of such material may lead to legal proceeding under the respective Acts.

13. Disclaimer

You do acknowledge and undertake that you are accessing the services on the website and transacting at your own risk and are using your best and prudent judgment before entering into any transactions through the website. You further acknowledge and undertake that you will use the website for personal use only which can include your family members and family office and not for business purposes. We shall not be liable for any consequential liability whatsoever on account of using the services through the website. 

Nimeya reserves the right to increase or decrease its subscription pricing for any future renewal period and you do agree that any taxes and levies will be applicable and subjected to changes as per Government regulations and guidelines. 

The portfolio being uploaded on the site are your own assets and liabilities which you maintain with respective companies and / or third-party organisations in which Nimeya is not a party. We further expressly disclaim any warranties or representations (express or implied) in respect of quality, suitability, accuracy, reliability, completeness, timeliness, performance, safety, merchantability, fitness for a particular purpose, or legality of the products listed or displayed or transacted in your portfolio. While we have taken precautions to avoid inaccuracies in content, this website, all content, information, software, products, services and related graphics are provided as is, without warranty of any kind. We do not implicitly or explicitly support or endorse the sale or purchase of any products on the website. 

14. Indemnity and Release 

You shall indemnify and hold harmless Nimeya Technologies Private Limited, its subsidiaries, affiliates and their respective officers, directors, agents and employees, from any claim or demand, or actions including reasonable attorney’s fees, made by any third party or penalty imposed due to or arising out of your breach of these Conditions of Use or any document incorporated by reference, or your violation of any law, rules, regulations or the rights of a third party.

You hereby expressly release Nimeya Technologies Private Limited and/or its affiliates and/or any of its officers and representatives from any cost, damage, liability or other consequence of any of the actions/inactions of the vendors and specifically waiver any claims or demands that you may have in this behalf under any statute, contract or otherwise.

Parties other than Nimeya Technologies Private Limited and its affiliates may operate stores, provide services, or sell product lines on Nimeya.ai. For example, businesses and individuals offer products via Marketplace. In addition, we provide links to the websites of affiliated companies and certain other businesses. We are not responsible for examining or evaluating, and we do not warrant or endorse the offerings of any of these businesses or individuals, or the content of their websites. Nimeya Technologies Private Limited does not assume any responsibility or liability for the actions, products, and content of any of these and any other third-parties. Nimeya.ai Software Terms

1. Use of the Nimeya Software

You may use Nimeya Software solely for purposes of enabling you to use and enjoy the Nimeya Services as provided by Nimeya, and as permitted by the these Nimeya Software Terms and any other Terms. You may not incorporate any portion of the Nimeya Software into your own programs or compile any portion of it in combination with your own programs, transfer it for use with another service, or sell, rent, lease, lend, loan, distribute or sub-license the Nimeya Software or otherwise assign any rights to the Nimeya Software in whole or in part. You may not use the Nimeya Software for any illegal purpose. We may cease providing any Nimeya Software and we may terminate your right to use any Nimeya Software at any time, if there is breach of Terms of Use. Your rights to use the Nimeya Software will automatically terminate without notice from us if you fail to comply with any of these Nimeya Software Terms of Use or any other Terms. Additional third-party terms contained within or distributed with certain Nimeya Software that are specifically identified in related documentation may apply to that Nimeya Software (or software incorporated with the Nimeya Software) and will govern the use of such software in the event of a conflict with these Terms of Use. You may not, and you will not encourage, assist or authorize any other person to copy, modify, reverse engineer, decompile or disassemble, or otherwise tamper with, the Nimeya Software, whether in whole or in part, or create any derivative works from or of the Nimeya Software.

Updates

In order to keep the Nimeya.ai software up-to-date, we may offer automatic or manual updates at any time and without notice to you.

1. Conditions Relating to the Sale of Services to You

This section deals with conditions relating to the sale of services on the website by us to you.

2. Our Contract

Our contract is for the segment wise storage space you are using to upload your data and managing the same within our server by login in with the help of your credentials for which you have the sole authority. Our application runs on in-built artificial intelligence to help you in managing your investments and liabilities based on the uploaded details in our server. This subscription is for specific period and can be renewed manually or automatically as per your choice. You understand that availing of services through our website / app requires suitable internet connection in your device which is to be availed from telecom companies separately on your own. The performance of our website / app depends on the speed of such internet connectivity.

You confirm that you are using our services at your own will and interest based on the benefits you expect to derive from the same.  This is for your internal / personal purpose and not for re-sale purpose. 

3. Refunds

Refund will be processed and credited to your account within 7 (seven) working days upon cancellation of the subscription within 60 days trial period either through the App or by sending email from your registered email id to cancel@nimeya.ai. Full amount debited to your account will be refunded to the same account upon such cancellation. Once the trial period is over, any subscription fee paid is non-refundable. You may also cancel your subscription at any time post free trial period. The cancellation will be effective from the next subscription renewal date. We have taken upmost care in building the services platform “Nimeya.ai” and are committed to bring the best user experience at all times.

4. Subscription & Pricing 

Our services are subscription based. The subscription categories are stated for your understanding. General subscription period is 12 months from the date you sign-up and make payment for the services. We do run offers allowing you to use the services free of cost for specific period before committing and paying for a specific subscription plan. Your subscription period will commence once the free subscription period is over. In case you don’t choose to opt for subscription plan, you can still keep the registration intact along with your data in our storage for future reference and decide to opt for subscription plan at a later date.  We list information for services available along with list for value added services available by paying some extra charges. Beyond what we say on that page or otherwise on the website / app, we cannot be more specific about the services. 

All prices are inclusive of Goods and Services Tax (“GST”), as applicable – unless stated otherwise.

5. Taxes

You shall be responsible for payment of all fees/costs/charges associated with the purchase of services from us and you agree to bear any and all applicable taxes including but not limited to  GST, duties and cesses etc as per applicability.

6. Mental Health Conditions

You acknowledge that you are in healthy state of mind having normal mental health conditions for entering into any contract and have read and understood the Terms of Use before accepting the same.

7. Children

Use of Nimeya.ai is available only to persons who can form a legally binding contract under the Indian Contract Act, 1872. If you are a minor under the age of 18 years, you cannot use our services till you attend the required age.

8. Mode of Communications

You are communicating with Nimeya.ai electronically. You will be required to provide a valid phone number and email id for registration. We may communicate with you by e-mail, SMS, phone call or by posting notices on the website or by any other mode of communication. For contractual purposes, you consent to receive communications including SMS, e-mails or phone calls from us with respect to the services availed / to be availed from us.

9. Claim for Losses

We will not be responsible for any business/financial loss direct or indirect (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure) or any other indirect or consequential loss whether or not that is not reasonably foreseeable to both you and us when a contract for the sale of services by us to you was formed.

10. Right to Alteration or Amendments to the Conditions

We, at all times reserve the right to make changes to our policies, and these Conditions of Sale of Services without any prior intimation. You will be subject to the policies and Conditions of Sale of Services in force at the time you have become a subscriber for our product, unless any change to those policies or these conditions is required to be made by law or government authority (in which case it will apply to terms of use previously accepted by you). If any of these conditions is deemed invalid, void, or for any reason unenforceable, that condition will be deemed severable and will not affect the validity and enforceability of any remaining condition.

11. Events beyond our reasonable control

We will not be held responsible for any delay or failure to comply with our obligations under these conditions if the delay or failure arises from any cause which is beyond our reasonable control. This condition does not affect your statutory rights.

12. Waiver & Applicability

These Terms of Use and any policies or operating rules posted by us on the site or in respect to the site, constitute the entire agreement and understanding between you and us. If you breach these conditions and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these conditions. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms of Use is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Use and does not affect the validity and enforceability of any remaining provisions.

13. Governing Law and Jurisdiction

These conditions are governed by and construed in accordance with the laws of India as the services provided by the Company are meant for Indian citizens only. You agree, as we do, to submit to the exclusive jurisdiction of the courts at Mumbai, India.

Subscription: Terms & Conditions (Play Store & Web App)

Subscription to the services of Nimeya Technologies Private Limited (Nimeya) are governed by the following terms and conditions. Nimeya is committed to provide its services for the specified period of agreement without any deviation / alternation subject to legal and regulatory guidelines of government authorities. However, the terms may be altered / amended at the sole discretion of Nimeya anytime after the agreement period which will be effective for any renewed period of service.  You are advised to read the wordings carefully for your own understanding and may seek expert advice wherever necessary.

1. Nimeya offers different types of subscription plans for access to its digital applications through mobile devices and computer / laptops.

2. Nimeya reserves the right to alter / amend the features, contents and types of services that it makes available for different subscription plans at any time, including without limitation to registered users. However, services already paid for will continue to be availed with the agreed features and contents during the subscription period.

3. By registering on the application / site you can become a registered user.

4. As a registered user you will be entitled to use the digital application free of cost for a period of 60 days from the date of registration.

5. You have to provide complete and accurate payment details at the time of subscribing to a plan option which will enable us to debit the subscription fees upon registration to avail the 60 days trial offer and to keep continuity of your profile for a period of 1 year once the trial period is complete. 

6. By submitting payment details, you confirm that you are authorising us to use those payment details for this purpose.

7. The subscription amount will be debited from your account immediately before start of the trial period. Such amount will include taxes as applicable by the government.

8. You will have the option and may choose to cancel the subscription within the trial period of 60 days either through the App or by sending email from your registered email id to cancel@nimeya.ai. Your refund will be processed to extent of the actual debit amount at the time of registration and will be credited to your same account within 7 working days’ time.

9. The subscription period will be for a period of 1 year post the 60 days trial period

10. The subscription being non-transferable, cannot be transferred to any other member or to any third party.

11. The subscription will be auto renewed at the end of the subscription period at the then prevailing renewal subscription amount.

12. You will have the option to port into a higher subscription plan by choosing the appropriate subscription plan option and payment of subscription amount.

13. You may also cancel your subscription at any time post free trial period.
